Website Information

The information provided on this website is intended for general information purposes.

Although we take reasonable steps to ensure that information published on the website is accurate and up to date, we do not guarantee that every item of information will always be complete, accurate or current.

Tax rules, accounting standards, legislation and regulatory requirements can change.

Information published on this website should therefore not be treated as personal accounting, tax, legal or financial advice.

You should contact F&A Accountants before relying on information in relation to your particular circumstances.

04

No Professional Advice Through the Website

Nothing on this website creates an accountant-client relationship.

Submitting an enquiry form, requesting a consultation, downloading information or communicating with us through the website does not by itself create an engagement between you and F&A Accountants.

Professional advice will only be provided once the relevant services have been agreed and the appropriate engagement documentation has been completed.

Where advice is provided to you, it will be based on the information available to us at the time and within the agreed scope of the engagement.

05

Our Services

The services we provide may include, depending on the engagement agreed with you:

  • Bookkeeping
  • Management accounts
  • Annual accounts
  • Tax and compliance services
  • Corporation Tax
  • VAT services
  • Payroll services
  • Self Assessment
  • Tax planning
  • Profitability analysis
  • Cash flow forecasting
  • Financial reporting
  • HMRC support
  • Hospitality accounting
  • Business advisory services
  • Other accounting or advisory services specifically agreed with you

The exact services included, exclusions, responsibilities, deadlines and fees will be set out in your Engagement Letter or Schedule of Services.

We are not required to provide services that have not been expressly agreed.

06

Engagement Letters

Before providing ongoing professional services, we will normally issue an Engagement Letter setting out the basis of our relationship with you.

The Engagement Letter may specify:

  • The services we will provide
  • Services excluded from the engagement
  • Your responsibilities
  • Our responsibilities
  • Fees and payment arrangements
  • Information and records we require
  • Deadlines and expected timescales
  • Limitations on the scope of our work
  • Relevant regulatory and legal requirements
  • How the engagement may be terminated

You should read your Engagement Letter carefully before accepting our services.

ICAEW guidance

ICAEW guidance recommends clearly recording the scope of work, fees, client responsibilities and applicable limitations in written engagement terms.

07

Your Responsibilities

You are responsible for providing us with complete, accurate and timely information and records required to perform the agreed services.

This may include:

  • Accounting records
  • Bank statements
  • Invoices and receipts
  • Payroll information
  • VAT information
  • CIS or tax information where applicable
  • HMRC correspondence
  • Details of income and expenditure
  • Details of relevant business transactions
  • Information relating to directors, shareholders or employees where required
  • Identification documents
  • Any other information reasonably required for the agreed services

You remain responsible for the accuracy and completeness of information you provide to us.

You must notify us promptly if you become aware that information supplied to us is inaccurate, incomplete or has changed.

08

Deadlines and Client Cooperation

We will use reasonable efforts to meet agreed deadlines where you provide all required information and approvals in sufficient time.

We cannot be responsible for delays caused by:

  • Late information
  • Missing records
  • Inaccurate information
  • Delayed approvals
  • Failure to respond to requests
  • Third-party system failures
  • HMRC or other government processing delays
  • Circumstances outside our reasonable control

Where information is provided late, we may not be able to guarantee the original submission or completion deadline.

You remain responsible for responding promptly to requests for information and approvals.

09

Fees and Payment

Our fees will be communicated to you before or at the beginning of the relevant engagement, unless otherwise agreed.

Depending on the service, fees may be:

  • Fixed fees
  • Monthly fees
  • One-off fees
  • Fees based on the scope or complexity of work
  • Additional fees for work outside the agreed scope

Any additional work outside the agreed scope may incur additional charges. Where reasonably practicable, we will notify you before carrying out significant additional work.

Invoices must be paid within the payment period stated on the invoice or in your Engagement Letter.

If an invoice remains unpaid, we reserve the right, subject to applicable professional and legal requirements, to suspend services until outstanding amounts are resolved.

ICAEW guidance

ICAEW guidance recommends that firms clearly state the basis on which fees are calculated and when payment is due.

10

Changes to Services

If you ask us to provide additional services or if the scope of an existing engagement changes, we may update the Engagement Letter, Schedule of Services or fee arrangement.

We will communicate material changes to the scope and fees where appropriate.

We are not obliged to undertake additional work until the revised scope and associated fees have been agreed.

11

Tax and Accounting Advice

Tax and accounting advice depends on the information available to us and the legislation, regulations and guidance applicable at the relevant time.

We will use reasonable professional care when providing agreed services.

However, tax legislation and HMRC practice can change, and the outcome of a tax position may depend on facts that are outside our control.

Unless specifically agreed, our services do not constitute legal or investment advice.

You should tell us about any relevant changes to your circumstances that may affect the advice or services we provide.

12

HMRC and Third-Party Authorities

Where authorised by you and included within the agreed scope of services, we may communicate with HMRC, Companies House, pension providers, banks or other relevant authorities or organisations on your behalf.

You remain responsible for ensuring that information supplied to us is complete and accurate.

We cannot guarantee the decisions, processing times, actions or responses of HMRC or any other third party.

13

Anti-Money Laundering and Identity Checks

We are required to comply with applicable anti-money laundering and client identification requirements.

Before accepting an engagement, and during the course of an engagement where necessary, we may request information and documents to verify your identity, business ownership and source of funds.

We may use electronic verification services and other legitimate sources for this purpose.

We reserve the right not to accept or continue an engagement where required information is not provided or where continuing the relationship would conflict with our legal, regulatory or professional obligations.

Where the law requires us to make a report to an appropriate authority, we may be unable to inform you of that report.

14

Confidentiality

We will treat information provided to us as confidential, subject to:

  • Legal or regulatory requirements
  • Professional obligations
  • Requirements of law enforcement or government authorities
  • Your authorisation
  • Circumstances where disclosure is necessary to protect our legal rights
  • Circumstances where disclosure is necessary to prevent or investigate fraud or other unlawful activity

We may use appropriately authorised employees, contractors and service providers to assist us in providing services, subject to appropriate confidentiality and data protection obligations.

Further information about how we process personal data is available in our Privacy Policy.

15

Data Protection

We process personal data in accordance with applicable UK data protection legislation.

Our Privacy Policy explains:

  • What personal information we collect
  • Why we collect it
  • How we use it
  • Who we may share it with
  • How long we retain it
  • Your data protection rights

Please refer to our Privacy Policy for further information.

16

Third-Party Software and Services

We may use third-party software, platforms and service providers to deliver our services.

These may include accounting, bookkeeping, payroll, document management, identity verification, cloud storage, communication and payment systems.

Where appropriate, your use of third-party systems may also be subject to the third party’s own terms and privacy policies.

We will take reasonable steps to select appropriate service providers and maintain suitable arrangements for the handling of information.

17

Intellectual Property

Unless otherwise stated, the content of this website, including text, graphics, branding, logos, design elements and other materials, belongs to F&A Accountants or is used with permission.

You may view and use website content for your own personal or internal business purposes.

You must not reproduce, modify, distribute, republish or commercially exploit our content without our prior written permission.

Nothing in these Terms & Conditions transfers ownership of our intellectual property to you.

18

Third-Party Links

Our website may contain links to websites operated by third parties.

These links are provided for convenience or additional information.

We do not control and are not responsible for the content, availability, security or privacy practices of third-party websites.

Visiting a third-party website is subject to that website’s own terms and policies.

19

Website Availability

We aim to keep the website available and operating properly, but we do not guarantee that it will always be:

  • Available
  • Uninterrupted
  • Error-free
  • Secure
  • Free from viruses or other harmful components

We may suspend, modify or withdraw parts of the website without notice where reasonably necessary for maintenance, security or operational reasons.

20

Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

Subject to the above, F&A Accountants will not be responsible for losses arising solely from:

  • Your failure to provide accurate or complete information
  • Your failure to meet agreed deadlines
  • Your failure to follow reasonable instructions
  • Reliance on general website information as though it were personalised professional advice
  • Third-party systems or services outside our reasonable control
  • HMRC, Companies House or other third-party actions or delays
  • Events outside our reasonable control

For professional services provided to clients, any applicable limitation of liability will be governed by the relevant Engagement Letter and applicable law.

We will not exclude or limit liability for fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

ICAEW guidance

ICAEW guidance recognises limitation of liability as a matter that may be addressed within properly agreed engagement terms.

21

Events Outside Our Control

We will not be responsible for failure or delay in performing our obligations where the failure or delay results from circumstances beyond our reasonable control.

This may include:

  • Major technical failures
  • Cybersecurity incidents affecting third-party systems
  • Internet or telecommunications failures
  • Government action
  • Changes in legislation
  • Natural disasters
  • Fire or flooding
  • Industrial disputes
  • Widespread service outages
  • Other circumstances that could not reasonably have been prevented or anticipated

Where reasonably possible, we will notify affected clients and take appropriate steps to minimise disruption.

22

Suspension or Termination of Services

Either party may terminate an engagement in accordance with the terms set out in the applicable Engagement Letter.

We may suspend or terminate services where permitted by the Engagement Letter or applicable law, including circumstances involving:

  • Persistent non-payment
  • Failure to provide required information
  • Failure to complete required identity or anti-money laundering checks
  • A conflict of interest
  • Unlawful activity
  • A breakdown in the professional relationship
  • Other circumstances where we are professionally or legally unable to continue acting

On termination, outstanding fees for services already provided will remain payable.

We may also be required to retain certain records after termination to comply with legal, regulatory or professional obligations.

ICAEW guidance

ICAEW recommends having clear procedures for client disengagement and retaining appropriate evidence when an engagement ends.

23

Complaints

We take complaints seriously and aim to resolve concerns fairly and promptly.

If you are unhappy with any aspect of our service, please contact us first so that we can investigate your complaint.

Our complaints procedure will explain the steps for handling your complaint.

Where applicable, clients may also have rights to complain to the relevant professional or regulatory body.

24

No Waiver

If we do not immediately enforce any provision of these Terms & Conditions, this does not mean that we have waived our right to enforce that provision in the future.

25

Severability

If any provision of these Terms & Conditions is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply.

The invalid provision will be modified or removed only to the extent necessary to make it lawful and enforceable.

26

Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our services, website, legal requirements or business practices.

The latest version will be published on this page together with the date on which it was last updated.

Your continued use of the website after an updated version has been published constitutes acceptance of the updated website Terms & Conditions.

Changes to client-specific professional engagements will be dealt with through the applicable Engagement Letter or revised terms of engagement.

27

Governing Law

These Terms & Conditions and any dispute or claim arising from them will be governed by the laws of England and Wales, unless applicable law requires otherwise.

The courts of England and Wales will have jurisdiction over disputes arising in connection with these Terms & Conditions, subject to any mandatory legal rights or alternative dispute-resolution requirements that may apply.
